Code of Business Conduct and Ethics from Keynote CEO Umang Gupta

Keynote’s Board of Directors and senior management team is firmly committed to effective corporate governance and promoting the highest standard of ethical behavior in the conduct of business. The Board and its committees conduct regularly scheduled meetings and hold special sessions to review key business initiatives and opportunities.

The Board has the following three Committees, all of which are comprised solely of independent non-employee directors:
The Audit Committee reviews the Company’s financial statements, monitors the firm’s accounting policies and practices and makes recommendations regarding the Company's independent auditors;
The Compensation Committee has reviews and makes recommendations to the Board regarding salaries and incentive compensation for the Company’s Officers and employees;
The Nominating Committee identifies, considers and recommends candidates for election to the Board, oversees the annual performance evaluations of the Board and Board Committees and makes recommendations regarding the structure and composition of the board and board committees.
